Business world me MoU word bohot use hota hai. Kabhi ye sirf “goodwill document” hota hai, kabhi almost full-fledged contract. Legal confusion isi se shuru hota hai: “kya MoU binding hai ya nahi?”
Answer depends on content and intention. Agar MoU me essential terms clear hon (parties, subject-matter, consideration, timelines) aur language se lage ki parties abhi se legally bound hona chahte hain, to courts ise enforceable contract treat kar sakte hain – chahe heading “MoU” hi kyun na ho. On the other hand, agar document sirf “we will explore possibilities” type vague statements rakhta hai, to wo non-binding understanding ho sakta hai.
“Subject to final agreement” type clauses important signal hote hain but not always conclusive. Parallel conduct – jaise payments, performance start hona, or reliance – bhi judge ko influence karte hain.
Safest approach:
- Agar binding chahiye, clearly likho ki parties legally obligated hain,
- Agar sirf framework chahiye, explicitly mention karo “non-binding except confidentiality/ exclusivity” etc.
- Critical commercial terms future contract ke liye chhodne se enforceability doubtful ho sakti hai.
MoU ko lightly sign karke later “bas discussion thi” bol dena risky game hai.
